Identity and Contractual Relationship

This document governs access to and use of AiCHEMIST's platform, services and digital products (hereinafter, «the Platform»). Services are provided by Gustavo Marioni (hereinafter, «the Provider»), domiciled in the City of Buenos Aires, Argentina.

Until a commercial entity is incorporated under the AiCHEMIST brand as described in Clause 11, the contractual relationship shall be governed under a sole-proprietor structure. The contractual position may be assigned without requiring additional User consent, as described in that clause.

By accessing, registering for, or using the Platform in any of its modalities (website, demos, SaaS products, custom implementations, specific verticals), the User declares having read, understood, and fully accepted these Terms and Conditions.

Service Description

AiCHEMIST is an operational AI layer designed to transform Marketing, Commercial and Operations teams across LATAM. Services include, without limitation, the following product lines and solutions:

— PMO AI (Operational Model Platform): Agent orchestration system to automate content production workflows, omnichannel campaigns, editorial calendar management and real-time executive reporting.

— Agentic DAM (Autonomous Digital Asset Management): Ingestion, semantic tagging, versioning and multichannel distribution system for large-scale digital asset portfolios.

— Market Intelligence: Real-time monitoring of market signals, competitive movements, pricing, trends and regulatory changes, with automated synthesis and actionable alerts.

— Synthetic Customer: Modeling of synthetic customer profiles based on real data, enabling behavior simulation, business hypothesis validation, communication personalization, and purchase decision anticipation without activating real databases.

— Farma Price Check: Vertical solution for the pharmaceutical retail sector. Automated monitoring of competitor prices, product availability and regulatory signals, with actionable reports for commercial and marketing teams.

— AI Loyalty Programs: Design and implementation of AI-powered loyalty systems. Includes segment modeling, dynamic accrual and redemption rules, benefit personalization and real-time performance dashboards.

— Turnkey consulting and implementation: Strategic digital maturity diagnosis, AI architecture design and system deployment in the client's operational environment, with handover of source code at project completion.

— Emerging solutions and custom verticals: AiCHEMIST continuously develops new solutions arising from client-specific pain points. New product lines, industry verticals, third-party integrations and additional agentic capabilities may be incorporated and will be covered by these Terms upon launch.

The Provider reserves the right to modify, update, expand or temporarily suspend Platform features to improve the service, add new capabilities or comply with applicable regulations. When possible, active Users will be notified with at least 7 days' notice.

Intellectual Property (IP)

Provider's Property: All software, algorithms, AI models, interfaces, designs, logos, methodologies, system prompts, agent workflows and AiCHEMIST's proprietary know-how are the exclusive property of the Provider or used under license. Nothing in these Terms transfers rights to such elements to the User, except where expressly agreed in writing in a turnkey implementation contract.

User Inputs: The User retains all rights to data, content, assets and information they upload or process on the Platform («Inputs»). By doing so, they grant the Provider a limited, non-exclusive, royalty-free license to process such Inputs solely for the purpose of delivering the contracted service.

AI Outputs: Subject to active payment of the current subscription or contract, the Provider grants the User commercial exploitation rights over results generated by AI systems as a direct consequence of their Inputs («Outputs»). The User acknowledges that, given the probabilistic nature of underlying AI models, similar outputs may be independently generated for other users.

Turnkey Implementations — Delivered Code vs. Core Software: In fixed-scope project contracts, the source code developed specifically for the client and agreed upon in the project scope will be delivered to the client upon final delivery. Such code becomes a digital asset of the contracting organization, who may use, modify and operate it with full autonomy.

Notwithstanding the above, the Client expressly acknowledges that such transfer is limited to the agreed specific implementation code. AiCHEMIST's Core Software — comprising agentic engines, orchestration frameworks, agent architectures, system prompts, reasoning models, proprietary methodologies, reusable components and all the technological know-how enabling the implementation — remains at all times the exclusive and non-transferable property of the Provider (AiCHEMIST / Gustavo Marioni).

The Provider may, at its sole discretion, use, license, improve and reuse the Core Software for other clients, projects and verticals, without any limitation arising from the delivery made to a given Client. The transfer of implementation code does not grant the Client any rights over the underlying Core Software, nor does it imply technological exclusivity of any kind.

[ KEY NOTE — IP DISTINCTION ]

What the Client receives: the source code of the specific agreed implementation, which becomes a company asset.

What AiCHEMIST always retains: the Core Software — agentic engines, frameworks, architectures, methodologies and proprietary know-how — which may be freely used for other clients and projects.

Limitation of Liability — Artificial Intelligence

AiCHEMIST uses large language models (LLMs) and agentic systems of a probabilistic nature. The User understands and agrees that:

a) We do not guarantee accuracy: AI Outputs may contain errors, inaccuracies or incorrect content («hallucinations»). The User is responsible for validating any Output before using it for professional, commercial, regulatory or any other purpose with consequences for third parties.

b) We do not guarantee uninterrupted availability: While the Provider will make reasonable efforts to keep services operational, it does not guarantee 100% uptime, especially for components depending on third-party AI provider APIs.

c) Limitation of damages: The Provider shall not be liable for direct, indirect, incidental, special, consequential damages, lost profits, data loss or business interruption arising from use or inability to use the Platform. Total maximum liability shall be limited to the amount effectively paid by the User during the 6 (six) calendar months prior to the event giving rise to the claim.

d) Use in sensitive sectors: If the User operates in sectors such as healthcare, finance, legal or pharmaceutical, all Outputs must be reviewed by qualified professionals before application. AiCHEMIST does not replace expert human judgment in regulated sectors.

Personal Data Protection and Privacy

Personal data processing is governed by Argentine Law No. 25,326 on Personal Data Protection and AiCHEMIST's Privacy Policy, available on this site.

The User warrants that they have a legitimate right to upload and process the data and Inputs they introduce on the Platform, including, where applicable, consent from the data subjects of third parties.

User data will not be sold or shared with third parties for commercial purposes unrelated to service delivery.

Fees, Invoicing and Payments

Access to AiCHEMIST services may be subject to monthly subscriptions, project contracts or vertical licenses, according to the agreed commercial model.

The Provider will issue electronic tax receipts in compliance with the current regulations of Argentina's Revenue Agency (ARCA, formerly AFIP). The applicable tax treatment will be determined based on the User's tax status at the time of invoicing.

Failure to pay an invoice by the agreed due date will entitle the Provider to: (i) immediately suspend access to the Platform; (ii) claim payment of outstanding amounts plus applicable late-payment interest.

Accepted currencies and payment methods: AiCHEMIST services may be paid in any of the following currencies, as agreed with the User in each contract:

— US Dollars (USD): principal reference currency for international contracts and turnkey projects.

— Argentine Pesos (ARS): available for clients with tax domicile in Argentina. The applicable exchange rate will be agreed with the User at the time of the transaction.

— Chilean Pesos (CLP): available for clients with tax domicile in Chile, at the exchange rate prevailing at the time of the transaction.

— Digital assets / Cryptocurrencies: AiCHEMIST accepts payments in stablecoins (USDT, USDC) and other high-liquidity cryptocurrencies (BTC, ETH), subject to prior agreement. Cryptocurrency payments shall be deemed final once the transaction is confirmed on the corresponding blockchain.

Any exchange rate differences, network fees or conversion costs arising from the chosen payment method shall be borne by the User, unless otherwise agreed.

Obligations and Prohibited Uses

The User agrees to use the Platform lawfully, ethically and in accordance with these Terms. The following are expressly prohibited:

a) Reverse engineering, decompiling, disassembling or attempting to extract the source code, AI models, system prompts or proprietary algorithms of AiCHEMIST.

b) Using the Platform to generate, distribute or process illegal, defamatory, discriminatory, copyright-infringing, obscene or third-party rights-violating content.

c) Automated data extraction (scraping, crawling) from the Platform without prior written authorization from the Provider.

d) Sharing access credentials with unauthorized third parties or attempting to access Platform sections for which authorization has not been granted.

e) Introducing malicious code, viruses, malware or any element that could compromise the security or availability of the Platform.

f) Using AiCHEMIST Outputs to train proprietary or third-party AI models without prior written authorization.

g) Impersonating AiCHEMIST, the Provider or other users.

Confidentiality

Both parties agree to maintain the confidentiality of all sensitive or strategic information received in the context of the commercial relationship, including business data, cost structures, proprietary methodologies, source code and client data.

This confidentiality obligation shall survive for 3 (three) years after termination of the contractual relationship, unless the information has entered the public domain through no fault of the parties.

The Provider commits to not disclosing client data or implementation cases without express authorization, except where the client has agreed to be referenced as a success case.

Suspension and Termination

The Provider may suspend or terminate the User's access to the Platform in the following cases: (i) breach of these Terms; (ii) non-payment of applicable fees; (iii) fraudulent, abusive or unethical use.

The User may terminate use of the Platform at any time. For retainer or subscription contracts, termination terms and conditions shall be those agreed in the specific agreement.

Modifications to the Terms

The Provider reserves the right to modify these Terms and Conditions at any time. Modifications will be published on this site with the date of last update. Continued use of the Platform implies acceptance of the modified Terms.

For material modifications, the Provider will attempt to notify active Users at least 15 (fifteen) days in advance by email.

Assignment Clause — Corporate Migration

The User expressly, freely and informedly consents to the Provider assigning the contractual position derived from these Terms — including all rights and obligations — to a commercial entity (SA, SRL or SAS) incorporated in the future to legally operate the brand and services under the AiCHEMIST name.

This assignment shall be valid and take full effect upon notification to the User by any of the following means: (i) publication on this website; (ii) email communication to the User's registered address; (iii) formal notification. No new agreement shall be required from the User.

The assignee entity shall be subrogated to all rights and obligations of the original Provider. Commercial conditions, fees and commitments in force at the time of assignment shall remain unchanged.

[ SPECIAL CLAUSE — PRIOR CONSENT ]

By accepting these Terms, the User grants express and anticipated consent to the contractual assignment described in this clause, without requiring an additional signature at the time the corporate migration takes place.

Applicable Law and Jurisdiction

These Terms and Conditions are governed exclusively by the laws of the Republic of Argentina.

Any dispute shall be submitted to the Commercial Courts of the City of Buenos Aires, with both parties expressly waiving any other jurisdiction that may apply.

Before initiating legal proceedings, both parties agree to attempt to resolve the dispute in good faith through direct negotiation, with a minimum period of 30 (thirty) calendar days from notification of the disagreement.
